Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, applications, and tools at timlcooley.com and its subdomains (collectively, the “Service”), operated by Tim L. Cooley (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility & Accounts
You must be at least 18 years old to use the Service. Some features require an account. You are responsible for the information you provide, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use.
2. Acceptable Use
You agree not to misuse the Service, including by: (a) violating any law or third-party right; (b) attempting to gain unauthorized access to systems or data; (c) interfering with or disrupting the Service; (d) uploading malicious code; or (e) using the Service to send spam or unlawful, deceptive, or harmful content.
3. Connected Platforms & Publishing
The Service may let you connect third-party accounts (for example, social platforms such as TikTok, or financial data via Plaid) and may publish content on your behalf to platforms you connect. You authorize us to access and act on those accounts solely to provide the features you request. You remain responsible for complying with each connected platform’s own terms and policies, and for the content you create, schedule, or publish through the Service.
4. Your Content
You retain ownership of the content you submit or generate through the Service (“Your Content”). You grant us a limited license to host, process, and transmit Your Content as necessary to operate the Service and to perform the actions you request (such as generating drafts or publishing to a connected platform). You represent that you have the rights to Your Content.
5. Intellectual Property
The Service, including its software, design, and text (excluding Your Content), is owned by us or our licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose.
6. Third-Party Services
The Service integrates third-party providers (including Plaid, TikTok, Supabase, Stripe, SendGrid, Twilio, Anthropic, and Vercel). Your use of those integrations may be subject to their terms and privacy policies. We are not responsible for third-party services and disclaim liability for their acts or omissions.
7. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. Nothing in the Service constitutes financial, legal, or professional advice.
8. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed one hundred U.S. dollars (US$100).
9. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising out of your use of the Service, Your Content, or your violation of these Terms or any third-party right.
10. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including a breach of these Terms. You may stop using the Service at any time.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by updating the “Effective” date above. Your continued use of the Service after changes take effect constitutes acceptance.
12. Governing Law
These Terms are governed by the laws of the State of Utah, USA, without regard to its conflict-of- law rules.
